Comprehensive Terms of Service

These Comprehensive Terms of Service ("Terms") govern your access to and use of Zazapp, an AI-powered omnichannel SaaS CRM. By registering for an account, accessing the platform, or utilizing our APIs, you enter into a legally binding agreement with Zazapp. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

Zazapp provides a robust Customer Relationship Management (CRM) platform integrating cutting-edge Artificial Intelligence to automate communications, sales, and support. Core functionalities include:

• Omnichannel Inbox: Centralized management of messages from WhatsApp, Instagram, Messenger, Telegram, LinkedIn, TikTok, X, WeChat, Snapchat, Discord, Twitch, and IMAP/SMTP emails.
• AI Agents: Autonomous virtual agents that process incoming communications, classify intents, and respond based on your customized prompts and knowledge base.
• Calendar & Scheduling Sync: Deep integration with Google Calendar and **Microsoft Outlook** to manage availability and automatically book appointments.
• Payment Processing: Native generation of payment links via Stripe Connect, Mollie, and Mercado Pago.

To access the Service, you must register for an account using secure authentication methods, such as Google Connect, Apple Connect, or Facebook Connect. You are fully responsible for maintaining the confidentiality of your login credentials and OAuth tokens. Zazapp will not be liable for any loss or damage arising from your failure to safeguard your account. You must notify us immediately at hello@zazapp.io upon discovering any unauthorized use or security breach of your account.

You agree to use Zazapp strictly for lawful purposes and in accordance with these Terms. You explicitly agree not to:

Use the Service to send unsolicited promotional messages (spam) in violation of CAN-SPAM, GDPR, or platform-specific policies (e.g., WhatsApp Business Policies).

Connect third-party services (such as Microsoft Outlook or Meta) without possessing the proper authorization and legal rights to the underlying data.

Utilize our AI agents to generate or distribute hate speech, illegal content, discriminatory remarks, or malicious code.

Reverse engineer, decompile, or attempt to extract the source code or AI prompts powering Zazapp. Failure to adhere to this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

Zazapp acts as a bridge connecting various third-party services. Your use of integrations such as **Microsoft Outlook**, Google Workspace, Meta Graph API (Instagram/WhatsApp), and payment processors is subject to the respective terms and conditions of those providers.

Service Interruption: Zazapp is not responsible for outages, API deprecations, or rate limits imposed by third parties (e.g., if Microsoft Outlook experiences downtime, your calendar sync may be temporarily affected).

Data Responsibility: By connecting these services, you grant Zazapp the necessary API permissions to read, write, and process data (including emails, calendar events, and messages) on your behalf as detailed in our Privacy Policy.

Zazapp is offered as a subscription-based SaaS.

Fees: You agree to pay all applicable fees associated with your selected tier. Fees are non-refundable except as required by law.

AI Consumption (Tokens): Usage of AI features consumes "tokens" based on the length of input and output. Your subscription includes a predefined token quota. If you exceed this quota, you may be billed for overages or your AI agent capabilities may be temporarily throttled until the next billing cycle. Token telemetry and costs are visible within your Admin Dashboard.

Zazapp retains all right, title, and interest, including all intellectual property rights, in and to the Service, underlying software, AI architectures, user interfaces, and trademarks. You retain all rights to the data, customer information, and customized prompts you input into the system. You grant Zazapp a worldwide, royalty-free, non-exclusive license to host, process, and display your data strictly for the purpose of operating and improving the Service.

The Service, including all AI-generated content and third-party integrations, is provided on an "AS-IS" and "AS-AVAILABLE" basis. Zazapp expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the AI agents will be error-free, that the Service will be uninterrupted, or that calendar syncs with providers like Microsoft Outlook will be instantaneous.

To the maximum extent permitted by applicable law, in no event shall Zazapp, its affiliates, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. Under no circumstances will Zazapp be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access to your account.

You agree to defend, indemnify, and hold harmless Zazapp and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease, and your data will be handled in accordance with our Privacy Policy.

These Terms shall be governed and construed in accordance with the laws of the European Union, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration or in the competent courts of the jurisdiction where Zazapp is legally registered.
